General Terms and Conditions of Business (as at 01/04/2018)

1. General, conclusion of the contract

1.1 The general terms and conditions (hereinafter “GT&C”) of meetyoo conferencing GmbH (hereinafter “meetyoo“) shall apply to all services rendered for their contract partner (hereinafter “client”). Contradictory or additional provisions from client’s own terms and conditions shall not apply, even if there is no explicit objection from meetyoo unless they are confirmed in writing by meetyoo.

1.2 In the event of discrepancies between the provisions of the GT&C and the contract and its specifications or collateral agreements, the provisions of the contractand its specifications or collateral agreements shall take precedence.

1.3 The following shall apply to online conclusions of contracts: Sending of an order to meetyoo, that is, clicking on the “Order” button in the online order process, represents a client’s binding purchase offer. Conclusion of contract is confirmed by the subsequent written confirmation of order from meetyoo in the form of an e-mail.

1.4 For the purposes of the credit check for dial-out applications, the firm Bürgel Wirtschaftsinformationen GmbH & Co. KG, PO Box 500 166, 22701 Hamburg will provide meetyoo with the address and credit history of the client saved in their database as well as key figures established using a mathematical statistical procedure.

 

2. Availability of meetyoo services

2.1 meetyoo shall provide conference services. The nature and scope of the services to be provided by meetyoo are determined by the contract as well as the list of services or collateral agreements pertaining thereto.

2.2 The services to the client shall be provided with due care, expertise and caution as is the norm for the provision of such services by a qualified professional or company.

2.3 For the provision of services to client, meetyoo may use third party networks, facilities and technologies that are not property of the parties to the contract or controlled by the latter.

2.4 If meetyoo arranges for client to be able to use services at all times, then meetyoo shall provide this service with an availability rate of 98.5 %. Availability shall be calculated on the basis of the time allotted to the respective calendar month in the contract period, minus maintenance time. For the time between 3 a.m. – 6 a.m. German time, meetyoo shall be entitled to carry out maintenance work for a total of five hours per calendar month. The services will not be available during maintenance.

 

3. Client Responsibilities

3.1 Client shall provide the necessary technical infrastructure, in particular hardware, software and telecommunications connections. If they are not already included in the contract, service specifications or collateral agreements, upon request client shall receive instructions regarding the technical infrastructure requirements that are necessary for using the meetyoo services.

3.2 Within the limits of its possibilities, client is obliged to check the proper provision of meetyoo services and to inform meetyoo immediately of any disturbances or interruptions etc.

3.3 The client is neither allowed to remove, change or conceal copyrights, trademarks or symbols of ownership contained in the services of meetyoo nor to make changes of services or products of meetyoo. This also applies to services and products of third parties, which meetyoo applies within the context of its services for the client (clause 2.3). The utilization of Websites and products of meetyoo or third parties is only admissible within the confines of the copyright, trademark law, name and labelling law as well as other industrial property rights. The reproduction, processing, distribution and each type of utilization outside these confines require the previous written approval of the respective author or producer.

3.4 The client will be solely responsible for the contents of his conferences, seminars or other online events which he carries out through meetyoo or with products of meetyoo. The personal rights of third parties shall be observed. The client shall ensure that no indications or statements are made, files are uploaded or contents are conveyed which violate applicable law or good morals as well as particularly glorify violence, infringe rights of third parties or discriminate persons for reason of race, ethnic origin, sex, religion or ideology, a disability, age or sexual identity.

3.5 The customer undertakes, with regard to the processing of personal data, to comply with the statutory regulations – in particular those of the Federal Data Protection Act (BDSG) and the Data Protection Act of the European Union (DS-GVO). The meetyoo data protection declaration contains supplementary regulations and information pertaining to this (/agb-datenschutz/).

3.6 meetyoo shall be exempted from all claims of third parties, which are based on a culpable breach of the client against the obligations contained in clause 3.3., 3.4 and 3.5. The client shall immediately inform meetyoo if he recognizes or had to recognize such a breach.

 

4. Price, payments

4.1 Price and performance terms, as well as other declarations or warranties, shall only be binding for meetyoo if meetyoo has submitted or confirmed them in writing. Insofar as not otherwise agreed in writing, meetyoo shall calculate the payment on a time and material basis using the prices in effect at the date the contract was concluded.

4.2 All prices are in euro if not indicated otherwise and do not include VAT. This shall be invoiced separately at the applicable statutory rate in accordance with the tax regulations in effect.

4.3 meetyoo can do the accounts on a monthly basis. If services are paid on a time and material basis, meetyoo shall itemise the nature and duration of the services and include this documentation with the invoice. In the case of an online conclusion of contract, invoices and itemised billing will be placed at the disposal in the meetyoo customer portal (services by meetyoo: https://portal.meetyoo.de, services by meetgreen: https://portal.meetgreen.de) or by request it will be sent as paper invoice (additional costs of 5 euro). In case of invoice delivery via the meetyoo customer portal, the client shall ensure that the e-mail address stored at meetyoo is available for the notification e-mail and that e-mails are regularly downloaded. Any changes to the address shall be immediately reported.

4.4 If client disagrees with all or part of an invoice, client shall inform meetyoo thereof within 14 calendar days after receipt of invoice. Otherwise, the invoice shall be considered as accepted.

4.5 All invoices are due immediately and payable in full at latest 14 calendar days after receipt.

 

5. Right of Retention, set-off

5.1 Provided it is not based on the same contractual relationship, client’s right of retention shall be excluded. meetyoo is entitled to prevent the right of retention from being exercised through provision of collateral and likewise through guarantee.

5.2 Client can only offset with uncontested claims or those that have legal effect.

5.3 If client defaults on payment, meetyoo shall, without prejudice to their other rights, be entitled to withhold the provision of all further services to client (“block”) until the latter is no longer in default, after first giving client a 10 day deadline before announcing the “block”.

 

6. Reservation of Rights

meetyoo reserves ownership and rights to be granted to services until full payment of the amount due.

 

7. Use by third parties

7.1 Client shall protect its access to meetyoo services against unauthorised use by third parties. Client shall be liable for any unauthorised use of its access, insofar the fault is attributed to client. Client must immediately inform meetyoo if there is a well-founded suspicion that unauthorised use is being made of its access.

7.2 Client shall pay the agreed prices for use of meetyoo services provided to third parties on the basis of client‘s authorisation. Client shall also have to pay for meetyoo services for unauthorised use by third parties if client is responsible for said use.

 

8. Confidentiality

8.1 Client and meetyoo shall be mutually bound to secrecy for an unlimited time with regard to business and trade secrets or information designated as confidential that became known in connection with the performance of the contract. The contents of conferences and all data on conference participants shall be considered as confidential data.

8.2 Without written permission from the other parties to the contract, parties to the contract may not reveal confidential data to anyone, with the exception of employees, representatives, subcontractors or vicarious agents of one of the parties to the contract to the extent that they must know the information in order to provide the service and insofar they are subject to the same duty of confidentiality.

8.3 meetyoo and its employees are also forbidden to process or otherwise use any information or data acquired for any other purpose than the one connected to the respective completion of the task. This applies in particular for conducting business transactions in documents of title and derivatives.

8.4 Parties to the contract shall endeavour in an economically reasonable manner to ensure compliance with these confidentiality regulations by their employees and by subcontractors or representatives.

8.5 The confidentiality provisions shall apply to data that 1. was in the possession of one of the parties to the contract prior to the negotiations leading to this contract; 2. is already generally known or became so later on, without breach of the provision of this regulation by one of the parties to the contract or 3. was made public in compliance with a statutory regulation or decree, insofar the other parties to the contract have been duly informed of aforementioned statutory regulation or decree.

 

9. Interruption in service provision

9.1 In the event of interruptions due to force majeure, strikes or other non-attributable failure on the part of meetyoo or one of its vicarious agents to meet deadlines (“Interruption”), the deadlines will be postponed for the duration of the interruption, including, if necessary, a realistic restart-up phase. One party to the contract must immediately inform the other party to the contract about the interruption that occurred in its area and the estimated duration of the postponement.

9.2 If expenses increase due to an interruption, meetyoo can demand payment of this extra cost, unless the cause lies outside client’s sphere of responsibility and the latter is not responsible for the interruption.

9.3 meetyoo is no longer obligated to provide service when it no longer has the owed service at its disposal. meetyoo shall undertake to inform client immediately about the none-availability and refund considerations already received.

 

10. Defects

Liability for minor defects is excluded. The right to termination remains unaffected.

 

11. Legal deficiencies

11.1 meetyoo shall only be liable for infringing on third-party rights through their services insofar the service is being used, in accordance with the contract and in particular, in the area of use contractually provided for.

11.2 meetyoo is liable for infringements on third-party rights only within the European Union and the European economic area as well as at the location of the contractual use of the service.

11.3 If a third party asserts to client that meetyoo service has infringed its rights, client shall immediately inform meetyoo thereof. meetyoo, and if applicable, its subcontractor, are entitled, however not obliged, to reject the asserted claims at their expense.

11.4 If third-party rights are infringed by a meetyoo service, at its discretion and at its own expense, meetyoo shall 1. provide client with the right to use the service or 2. provide the service without infringing on any rights or 3. take back the service with reimbursement of payments made by client for said service (minus reasonable compensation for use), if meetyoo does not find any other remedy with reasonable costs. The interests of the client are thereby duly taken into account.

 

12. Prescription of Claims

Warranty claims shall prescribe within a year of commencement of the statutory prescription period. This does not apply to claims pursuant to § 438, section 1 No. 2 BGB and § 634 a section 1 No. 2 BGB.

 

13. Limitation of Liability

13.1 meetyoo shall be liable for damage from injury to life, limb or health in accordance with statutory provisions.

13.2 For other damage, meetyoo shall only be liable if it concerns a deliberate or grossly negligent breach of duty by meetyoo or one of meetyoo’s official representatives or vicarious agents.

13.3 meetyoo shall not be liable in the event of ordinary breach of duty, unless a substantial contractual obligation (cardinal obligation) is breached. In this case, liability is limited, however, to damages that are reasonably foreseeable at the time the contract is concluded.

13.4 meetyoo shall not be liable for such damage that could be avoided by client implementing proper safeguarding of data.

13.5 meetyoo shall not be liable for the compatibility of its services with technical facilities that come under client´s responsibility (number 3.1).

13.6 If in order to provide its services for client, meetyoo uses third-party networks, facilities and technologies which are not owned or cannot be controlled by the contract parties (number 2.3), these third parties are only liable to client to the extent that meetyoo would be liable to client according to these General Terms and Conditions.

13.7 If meetyoo uses client’s networks, facilities and third-party technologies to provide services and these are not property of the parties to the contract or controlled by the latter (number 2.3), meetyoo shall only have deferred liability with regard to any claims that arise therefrom. Client must first start with claim proceedings against third parties. meetyoo shall transfer to client any claims by meetyoo against third parties that are necessary for enforcing clients claims with third parties. meetyoo must place all necessary information and documents at client’s disposal. Only if and insofar client cannot claim compensation for damage from third parties, client can enforce its claim with meetyoo. In other respects, the provisions of this GT&C shall also apply.

13.8 For client’s claims for reimbursement of expenses and any other claims for damages (consequential damage, lost profits, etc.) against meetyoo, the above shall apply accordingly.

13.9 Liability pursuant to the Product Liability Act remains unaffected.

13.10 If the application range of Section 44a German Telecommunications Act is established, the provisions stipulated there for financial losses apply, unless meetyoo’s liability is already limited by the provisions of No. 13 and 14.

 

14. Maximum amount of liability

14.1 If meetyoo encounters delays in providing services, the compensation for loss/damage and expenses of client shall be limited to 0.5 % of the price for the part of the service that could not be used due to the delay and this for every completed week of delay. Liability for delay is limited to a total of 5 % of this price at the most.

14.2 For each individual claim, liability is limited to the contract value, with continuous compensation to the amount of compensation per contract year, however, not to less than € 50,000. When concluding this contract, parties can agree on a more extensive liability with separate payment.

14.3 Numbers 14.1 and 14.2 shall not apply if there is intentional or gross negligence or an injury to life, limb or health. Number 13.9 and 13.10 shall apply here as well.

 

15. Termination

15.1 The contract can be terminated by parties to the contract in accordance with the contractual agreements or statutory provisions. Every termination must be made in writing to be valid.

15.2 The contract can be terminated without notice by either party for a substantial reason, if a petition for bankruptcy has been filed or proceedings for composition have been instituted.

 

16. Written Form

All amendments and additions to contractual agreements must be made in writing. This also applies for the revocation or amendment to the requirement for the written form.

 

17. Applicable law, jurisdiction

17.1 This contract shall be governed by the laws of the Federal Republic of Germany. The application of the UN purchase right is excluded.

17.2 For contracts with businessmen, public sector legal entities or special funds under public law, the courts of Berlin-Charlottenburg shall have jurisdiction.

 

18. Severability Clause

Should individual regulations of these provisions be ineffective, the validity of the remaining regulations as well as of the contract shall not be affected.

1. Collection, processing and use of personal data

Personal data is collected on our Website by means of various online forms; this data is needed to answer your questions and respond to your requests, or to process online orders. meetyoo is obliged to process only the personal data that is necessary for carrying out these procedures. Some data that is not absolutely essential is collected optionally and may be given voluntarily. We always treat the data we collect from you confidentially, and process it only for the stated purpose. The data is not transmitted or passed on to third parties unless this is necessary for the execution of the contract or meetyoo is obliged to do so by law.

 

2. Secure data transmission

All the data you enter on our web pages, including within the meetyoo services, is protected by TLS encryption.

 

3. Collection, processing and use of personal data

meetyoo is obliged to only collect such personal data as is required for the purpose of the processing of the respective procedures. If data is collected that is not absolutely necessary, this is collected as a voluntary information. Mandatory fields are always marked as such. We will always treat your personal data confidentially and exclusively for the purposes specified. a) Informational use of the web site

 Where the website is used for information only, that is, if you do not log in with a customer account or otherwise submit information, we do not collect any personal data, with the exception of the items of information that your browser sends to allow you to visit to the website. These are:

 

  • IP address
  • The date and time of the request as well as time zone
  • Content of the request (specific page)
  • Access status/HTTP status code.
  • Each quantity of data transferred
  • The website from which the request has come,
  • Browser version, operating system and any installed plugins and fonts

 

The IP addresses of the users are deleted or made anonymous after the end of the use. In the case of an anonymisation, the IP addresses are modified in such a way that the individual details about personal or factual circumstances can no longer be assigned to a specific or identifiable natural person or such can only be undertaken with a disproportionately large amount of time, cost and labour. The data in the so-called log files is evaluated by us in anonymous form, in order to further improve the website, to make it more user-friendly and to find and fix errors more swiftly. meetyoo provides various free downloads (White Paper) for interested parties. By entering your e-mail address and downloading the file, you agree to meetyoo conferencing GmbH using the collected data for information purposes in the areas of meeting communication and our products and to being contacted by post / telephone / e-mail. Of course, this consent can be revoked at any time via datenschutz@meetyoo.de. Your email address will not be disclosed to third parties.

 

d) Newsletter

On our website, we offer the opportunity to subscribe to our newsletter. With this newsletter, we offer information at regularly intervals about our offers, in particular on the topics of webcasts, web conferencing and meeting solutions. To enable the ordering our newsletter, we use the so-called double opt-in procedure, i.e. after ordering, you will receive a confirmation e-mail containing a confirmation link. We store the IP address and the date and time of the registration confirmation in order to be able to prove the order has been placed properly. Further data is not collected on our part. Your e-mail address will not be disclosed to third parties.

e) Online Orders

When processing online orders, the ordering process requires us to collect personal data, as does the opening of a customer account; this data includes: name, contact information, payment information and e-mail address. In strict compliance with the legal requirements, in principle your data may be forwarded to several companies, insofar as this is required for the processing of our contractual relationship. Payment services (for example. Visa, Mastercard, etc.) are made use of for the payment process, whereby your data will be forwarded to the payment intermediary. The same applies in terms of the credit institutions commissioned with the payment.

 

f) Registration for meetyoo services

 The use of specific meetyoo services (e.g. webcast, webinar, virtual trade fairs, event registration, web conferencing, Outlook Add-in, customer portal) requires registration. The data, which is stored during registration, is made visible from the input mask of the respective registration form. As standard, this involves a first name, last name, company, e-mail address and password/PIN. Required fields are marked as such. With your registration on our site, your IP address and the date and time of your registration will also be stored. This is used as a precaution on our part in the event that a third party should misuse your data and use it without your knowledge to register on our site. meetyoo provides the aforementioned services technically ready for the respective contracting authority. The responsible body for the handling of personal data is the respective contracting authority. meetyoo acts as a contractor for the provision of the product within the framework of commissioned data processing process in accordance with §11 of the German Federal Data Protection Act (BDSG) or Art. 28 (3) of the Data Protection Regulation (DS-GVO). The decision on the specific nature of the processing of the data and its further use is the sole responsibility of the contracting authority. meetyoo only ensures the technical implementation and provision of the service and does not process the data for its own purposes.

 

g) Use of the meetyoo services

 meetyoo makes various services (for example, webcast, webinar, virtual trade fairs, event registration, web conferencing, conference calling, Outlook Add-in, customer portal) technically available for the respective contracting authority. The responsible body for the handling of personal data is the respective organiser (contracting authority) of the conferences. meetyoo acts as a contractor for the provision of various products within the framework of the commissioned data processing in accordance with § 11 of the Federal Data Protection Act (BDSG) or Art. 28 (3) of the Data Protection Regulation (DS-GVO). The decision on the specific nature of the processing of the data and its further use is the sole responsibility of the contracting authority. meetyoo only ensures the technical implementation and provision of the service and does not process the data for its own purposes. We would like to point out that any data protection consent can be revoked at any time with effect for the future. Please contact the organiser of the conference.

 

meetyoo Webcast

 

A webcast is a modern communication tool, with which information can be communicated to a great many people at the same time via the Internet. These are carried out by one or more presenters, who use computers to show presentations or videos, for example.

 

The participants must register in advance for the event or they receive an invitation directly from the organisers. The invitation, which is usually sent by e-mail, contains a link to the webcast.

 

In the case of a live webcast, the event takes place at the moment, in which the feed is broadcast. The presentation and the video feed are live as is the interaction with the audience.

 

In contrast to a live webcast, an on-demand webcast involves pre-recorded content, which is then made available on demand.

 

This can be a recorded live event, which is thereafter to be made available online. Or it might be a recording, which was produced per se only for on-demand retrieval. Live interaction with viewers of an on-demand webcast is nevertheless possible via Chat.

Within the framework of the provision of webcasts, meetyoo collects, processes, stores and uses personal data as part of the participation as follows:

 

In the framework of the dial-in, your name, if applicable your company, your e-mail address and password are processed. In order to render the provision of services technically possible, the IP address, technical information about the end device and the browser used, including version and, if necessary, the installed plug-ins and fonts, amount of data, technical specifications concerning the data transfer, such as access status/HTTP status code, data quantity and, if necessary, technical error codes as well as the date and time of the dial-up and the time zone are processed.

 

When participating in a webcast, you may or may not have the opportunity to ask the presenter, organiser or the other participants questions and to make your own contributions via chat or audio transmission. It will be clear in the respective event whether your contributions are only displayed and transmitted to the presenter, organiser or even the other participants. In the course of providing these functions, meetyoo processes the contents of your questions and contributions, as well as the time and date.

 

When participating in a webcast, live event and in the case of an on-demand participation, depending on the settings made by the organiser, the time, duration and circumstances of your participation in the respective event may also be captured. This data is used to create invoices vis-a-vis the organiser, to allow such to control and manage the event and, if necessary, in order to allow an evaluation of the event. Details can be found in the respective information on the specific event.

 

If during participation in a webcast, live event and in the case of an on-demand participation, votes are taken, data on the outcome of the vote (number of votes submitted and percentage distribution) will be collected and processed. As a result of registering, personal voting behaviour is processed on a personal basis, i.e., with the name of the respective participant. If the webcast is made available without registration, the voting behaviour remains anonymous.

meetyoo Web Conference

 

The participants must register in advance for the web conference or they receive an invitation directly from the organiser. The invitation, which is usually sent by e-mail, contains a link to the web conference, and an access PIN.

 

In the course of providing the web conference, meetyoo collects, processes, stores and uses personal data for the participation as follows:

 

Within the context of the use of the web conference, your name and the PIN are processed. In order to render the provision of services technically possible, the IP address, technical information about the end device and the browser used, including version and, if necessary, the installed plug-ins, technical specifications concerning the data transfer, such as access status/HTTP status code, data quantity and, if necessary, technical error codes as well as the date and time of the use of the web conference are processed.

 

When participating in a web conference, you may or may not have the opportunity to ask the presenter, organiser or the other participants questions and to make your own contributions via audio transmission. The time, duration and circumstances of your participation in the respective web conference will be captured. This data is used to create invoices vis-a-vis the initiator of the conference, to allow such to control and manage the conference and, if necessary, in order to allow an evaluation of the conference. You will receive information about the use of your data from the initiator of the web conference.

 

4. Cookies, web site analysis, social plug-ins and external services

Cookies are small files that are stored on your disk and which store the specific settings and data for the exchange with our system via your browser. Cookies cannot run programs or deliver viruses to your computer. They serve to make our internet service more user-friendly and effective.

 

Basically, there are two different types of cookies, so-called session cookies, which are deleted as soon as you close your browser (= end of session), and temporary/permanent cookies, which are stored on your disk for an extended period of time or indefinitely. This storage helps us to design our website and make it easier for you to use, for example by means of specific entries made by you being stored so that you do not have to constantly repeat them.

 

You can delete cookies in your browser security settings at any time and you can configure your browser settings according to your preferences (for example, the acceptance of third party cookies or rejection of all cookies). Artikel 246 EGBGB, § 3 Informationspflichten bei Verträgen im elektronischen Geschäftsverkehr

Bei Verträgen im elektronischen Geschäftsverkehr muss der Unternehmer den Kunden unterrichten

  1. über die einzelnen technischen Schritte, die zu einem Vertragsschluss führen,
  2. darüber, ob der Vertragstext nach dem Vertragsschluss von dem Unternehmer gespeichert wird und ob er dem Kunden zugänglich ist,
  3. darüber, wie er mit den gemäß § 312e Abs. 1 Satz 1 Nr. 1 des Bürgerlichen Gesetzbuchs zur Verfügung gestellten technischen Mitteln Eingabefehler vor Abgabe der Bestellung erkennen und berichtigen kann,
  4. über die für den Vertragsschluss zur Verfügung stehenden Sprachen und
  5. über sämtliche einschlägigen Verhaltenskodizes, denen sich der Unternehmer unterwirft, sowie die Möglichkeit eines elektronischen Zugangs zu diesen Regelwerken.

Zu 1: Das Absenden der Bestellung an meetyoo, das heißt der Klick auf den „Bestellen“-Button stellt einen verbindlichen Kaufantrag des Kunden dar. Der Vertragsschluss kommt durch die anschließende schriftliche Auftragsbestätigung per E-Mail durch meetyoo zustande.

Zu 2: Die Zusammenfassung der Bestellung wird von meetyoo gespeichert und dem Kunden als PDF-Dokument unverzüglich per E-Mail zugestellt. Für die Bestellung gelten die aktuellen AGB der meetyoo conferencing GmbH, diese kann der Kunde jederzeit bei meetyoo anfordern oder auf meetgreen.de/impressum/ einsehen.

Zu 3: Der Bestellprozess ermöglicht dem Kunden alle eingegebenen Daten abschließend zu überprüfen und ggf. zu korrigieren.

Zu 4: Vertragssprache ist deutsch.

Zu 5: meetyoo erbringt seine Leistungen nach deutschem Recht (siehe www.gesetze-im-internet.de ) sowie den Bestimmungen des Telekommunikationsgesetzes (TKG).

Nutzungsbedingungen für die meetyoo-Webkonferenzlösung (Stand: 15.12.2017)

1. Allgemeines

Für die Nutzung der Webkonferenzlösung der meetyoo conferencing GmbH gelten die nachfolgenden Nutzungsbedingungen sowie die Allgemeinen Geschäftsbedingungen (AGB) und die Datenschutzerklärung der meetyoo conferencing GmbH sofern in diesen Nutzungsbedingungen keine abweichende Regelung getroffen wird.

Mit der Nutzung der Webkonferenzlösung der meetyoo conferencing GmbH akzeptiert der Nutzer die Bedingungen.

2. Geltungsbereich

Auf der Webkonferenz-Plattform der meetyoo conferencing GmbH bietet der Moderator der Webkonferenz (der Konferenzraum-Inhaber) oder meetyoo den Konferenzteilnehmern die Möglichkeit, auf Einladung an einer Webkonferenz teilzunehmen.

3. Nutzung der Webkonferenzlösung

Der Moderator einer Webkonferenz hat sich vor Inanspruchnahme der Webkonferenzlösung zu registrieren. Der Teilnehmer ist zur Teilnahme nur berechtigt, wenn er durch den Moderator oder durch meetyoo zur Teilnahme eingeladen wurde. Der Moderator loggt sich mittels einer ihm mitgeteilten Moderator-PIN ein. Der Teilnehmer erhält durch den Moderator eine Teilnehmer-PIN, mittels derer er sich in die Webkonferenz einloggt. Ein Anspruch auf Teilnahme an einer Webkonferenz besteht jedoch nicht. Insbesondere Teilnehmer, die zwar eingeloggt sind, aber nicht zur Konferenzteilnahme eingeladen wurden, können jederzeit von der Webkonferenz ausgeschlossen werden.

Moderator und Teilnehmer einer Webkonferenz sind verpflichtet, bei der Nutzung der Webkonferenz die anwendbaren Gesetze sowie alle Rechte Dritter zu beachten.

Der Auftraggeber und meetyoo können ohne Vorankündigung rechtswidrige Inhalte des Nutzers löschen oder den Zugang des Nutzers zur Webkonferenzlösung sperren, wenn der Nutzer gegen gesetzliche Vorschriften, Rechte Dritter oder diese Nutzungsbedingungen verletzt.

4. Technische Voraussetzungen und Systemvoraussetzungen

meetyoo übernimmt keine Gewähr für die Funktionstüchtigkeit der externen Daten- und IP-Netze, an die der Moderator oder die Teilnehmer direkt oder indirekt angeschlossen sind.

5. Haftungsbeschränkung

Die Nutzer der Webkonferenzlösung erkennen an, dass eine 100%ige Verfügbarkeit der Webkonferenzlösung technisch nicht zu realisieren ist. Insbesondere Wartungs-, Sicherheits- oder Kapazitätsbelange sowie Ereignisse, die meetyoo nicht zu vertreten hat (wie z. B. Störungen von öffentlichen Kommunikationsnetzen, Stromausfälle etc.), aber auch Soft- und Hardwarefehler, insbesondere die Software und Hardware sowie IT-Infrastruktur der Nutzer können zu kurzzeitigen Störungen oder zur vorübergehenden Einstellung der Dienste führen. Ein Anspruch des Nutzers auf jederzeitige Verfügbarkeit der Webkonferenzlösung besteht insoweit nicht.

Dem Nutzer ist bekannt, dass die Daten zum Betrieb der Webkonferenzlösung über öffentliche Kanäle, insbesondere das Internet, übertragen werden. Der Nutzer erkennt an, dass die Übertragung nicht zu 100% sicher ist. meetyoo verpflichtet sich, die Daten des Kunden nach branchenüblichen Standards zu sichern, garantiert jedoch keine 100%ige Sicherheit.

meetyoo haftet nicht für Schäden, die durch den Missbrauch der PINs oder durch fehlerhafte Eingaben verursacht werden. Jede Partei trägt ihr Übermittlungsrisiko und haftet für alle durch eine falsche Übermittlung entstehenden Schäden.

Die Präsentatoren der Konferenz sind für den Content allein verantwortlich. meetyoo übernimmt keine Überprüfung der Inhalte auf Vollständigkeit, Richtigkeit, Rechtmäßigkeit, Aktualität, Qualität und Eignung für einen bestimmten Zweck. meetyoo übernimmt keinerlei Gewähr für die durch die Nutzer veröffentlichten Inhalte.

Die Präsentatoren versichern, dass alle für die Veröffentlichung erforderlichen Rechte an den von ihnen bereitgestellten Materialien vorhanden sind und stellen meetyoo von allen etwaigen Ansprüchen Dritter wegen Verletzung gewerblicher und/oder geistiger Schutzrechte für Materialien aus ihrem Verantwortungsbereich frei. Soweit Dritte am Content Rechte gegenüber meetyoo geltend machen, stellt der Kunde meetyoo von etwaigen Ansprüchen auf erstes Anfordern hin frei.

Bei Vorliegen eines Verdachtes auf rechtswidrige bzw. strafbare Handlungen behält sich meetyoo das Recht vor, das Einstellen von Inhalten abzulehnen und/oder bereits eingestellte Inhalte ohne vorherige Ankündigung zu bearbeiten, zu sperren oder zu entfernen.

6. Urheberrecht

Sämtliche Texte, Bilder und andere in der Webkonferenz veröffentlichten Informationen und Daten unterliegen – sofern nicht anders gekennzeichnet – dem Copyright der Präsentatoren oder/und meetyoo. Jede Form von Wiedergabe und/oder Modifikation darf nur mit der schriftlichen Genehmigung durch den Inhaber des Copyrights, also Präsentator oder/und meetyoo erfolgen.

Andersfalls behalten der Präsentator oder/und meetyoo sich das Recht vor, gerichtlich gegen diese Rechtsverletzung vorzugehen. Alle Schäden, die durch eine Rechtsverletzung seitens eines Nutzers verursacht werden, sind von diesem zu tragen und an den Geschädigten zu ersetzen.

7. Änderungsvorbehalt

meetyoo hat jederzeit das Recht, die Nutzungsbedingungen zu ändern. Die Änderung wird auf der Webseite „meetyoo.de“ veröffentlicht.

8. Anwendbares Recht, Gerichtsstand

Es gilt das Recht der Bundesrepublik Deutschland.

Bei Verträgen mit Kaufleuten, juristischen Personen des öffentlichen Rechts oder einem öffentlich-rechtlichen Sondervermögen ist Berlin-Charlottenburg Gerichtsstand.

9. Salvatorische Klausel

Sollten einzelne Regelungen dieser Bedingungen unwirksam sein, so wird dadurch die Gültigkeit der übrigen Regelungen sowie des Vertrages selbst nicht berührt.
